Terms of Service

Welcome to IMEXLOG ("we," "our," "us"). By accessing our website (imexlog.org), creating a member account, submitting a trade request, or using any of our services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms apply to all users of the platform, including members, buyers, sellers, suppliers, freight forwarders, customs brokers, carriers, trade specialists, and any other person or entity accessing the Services.

IMEXLOG is a global trade and logistics networking platform that connects businesses, individuals, governments, and agencies with verified manufacturers, suppliers, buyers, distributors, freight forwarders, customs brokers, and logistics partners across countries.

Our Services include, but are not limited to:

• •Trade Sourcing — product, supplier, and manufacturer discovery
• •Verification — company, contact, product, and document verification
• •Connection — buyer, distributor, agent, and partner introductions
• •Movement — freight coordination, customs clearance, and delivery
• •Market Entry — research, partner discovery, and setup in new markets
• •RFQs & Opportunities — a marketplace for publishing and responding to sourcing requests
• •Information Center — trade alerts, market updates, and reference guides

IMEXLOG is a coordinator and facilitator. We are not the buyer, seller, carrier, or importer of record unless explicitly stated in a separate written agreement. All transactions are between the parties involved.

When you submit a trade request, publish an RFQ, or respond to an opportunity, you agree that:

• •All information you provide is accurate and truthful to the best of your knowledge.
• •You have the legal right to buy, sell, or trade the products or services described.
• •You will comply with all applicable export control, sanctions, and customs laws in your jurisdiction and the counterparty's jurisdiction.
• •IMEXLOG may review, moderate, edit, or remove any content that violates these Terms or applicable law.
• •IMEXLOG is not a party to any transaction between members and does not guarantee the performance, quality, legality, or delivery of any goods or services.

All platform content, including but not limited to the IMEXLOG name, logo, website design, software, guides, articles, market data, and the Information Center content, are the exclusive property of IMEXLOG or its licensors and are protected by copyright and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the platform solely for your business or personal trade purposes. You may not reproduce, distribute, modify, sell, or share any platform content without our prior written consent.

Your content: By submitting content (trade requests, RFQs, documents, images, or comments), you grant IMEXLOG a worldwide, non-exclusive, royalty-free license to use, display, and share that content within the platform for the purposes of the Services.

You agree to:

• •Use the Services for lawful international trade and business purposes only.
• •Not impersonate any person or entity, or misrepresent your affiliation, company, or authorization.
• •Not share your login credentials or allow unauthorized access to your account.
• •Not post false, misleading, defamatory, or fraudulent information about any counterparty.
• •Not use the platform to circumvent sanctions, launder money, or violate export controls.
• •Not engage in any activity that disrupts or interferes with the Services or other users.
• •Comply with all applicable laws, regulations, and industry standards in your jurisdiction and your counterparty's jurisdiction.

Violation of any of the above may result in immediate account suspension or termination, without refund, and may be reported to relevant authorities.

IMEXLOG offers verification services to help members assess the legitimacy of counterparties. While we apply rigorous standards, verification is not a guarantee of performance, quality, or financial standing.

The IMEXLOG Blacklist is a screening tool that aggregates reports of unreliable, fraudulent, or non-compliant counterparties. Use of the Blacklist is for informational purposes only. IMEXLOG is not liable for any decision made based on Blacklist data.

Members may be added to the Blacklist following verified reports of non-performance, fraud, or violation of these Terms. Members have the right to appeal by contacting support@imexlog.org.

The Services and all content, including the Information Center, Market Updates, and Trade Guidelines, are provided on an "as is" and "as available" basis. While we strive for accuracy and reliability, we do not warrant that the Services will be uninterrupted, error-free, or that any information provided is complete or current.

IMEXLOG is a coordinator and facilitator. We are not liable for the actions, omissions, financial standing, or performance of any member, supplier, buyer, carrier, or other third party. All transactions are between the parties involved.

To the maximum extent permitted by law, IMEXLOG, its directors, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to lost profits, lost business, or loss of data.

Our total liability to you shall in no event exceed the total fees you paid to IMEXLOG in the 12 months preceding the claim.

We may suspend or terminate your account and access to the Services immediately, without prior notice or liability, if you breach these Terms, violate applicable law, or engage in conduct that harms IMEXLOG, its members, or the integrity of the network.

You may terminate your account at any time via your account settings or by contacting support. Upon termination, your right to use the Services ceases immediately. Certain provisions (including liability, indemnity, and governing law) survive termination.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles, unless otherwise specified in a separate written agreement.

Any dispute arising from these Terms or your use of the Services shall first be subject to good-faith negotiation between the parties. Failing amicable resolution within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts located in Lagos, Nigeria.

Nothing in this clause prevents IMEXLOG from seeking injunctive or equitable relief in any competent jurisdiction to protect its intellectual property or confidential information.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 14 days before they take effect.

Your continued use of the Services after the effective date of any changes constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Services and may close your account.
